Mooreland Partners Advises Qumu Corporation on the Divestiture of its Disc Publishing business to Equus Holdings, Inc.
Minneapolis, MN / Minnetonka, MN — May 6, 2014 — Mooreland Partners is pleased to announce that it acted as exclusive financial advisor to Qumu Corporation (“Qumu”) (NASDAQ: QUMU) on the divestiture of its Rimage disc publishing business to Equus Holdings, Inc. (“Equus”). Qumu Corporation (NASDAQ: QUMU) and Equus Holdings, Inc. (www.equus-holdings.com) announced they have entered into a definitive asset purchase agreement under which Qumu will sell its Rimage disc publishing assets to Redwood Acquisition, Inc., a wholly-owned subsidiary of Equus Holdings in an all cash transaction valued at $23 million, subject to certain adjustments. The transaction, which is subject to stockholder approval, is expected to close by July 31, 2014. The transaction resulted from a comprehensive process implemented by Qumu’s Board of Directors, with the advice of Mooreland Partners as its financial advisor, to maximize the value of the disc publishing operations for shareholders while enabling Qumu management to focus resources and time exclusively on the Company’s high growth enterprise video content management software business.
Rimage Disc Publishing (www.rimage.com) offers industry-leading digital publishing solutions to archive, distribute and protect content on CDs, DVDs and Blu-ray Discs to more than 10,000 customers around the world. Key markets and applications for its products include video workflows, retail, medical imaging and law enforcement. The Rimage Disc Publishing unit has been declining in revenue in recent years and the acquisition by Equus, a tax-free entity, provides an opportunity to further improve Rimage’s strong cash flows.
The divestiture of Rimage Disc Publishing marks the ninth transaction advised by Mooreland since the beginning of 2014, and further strengthens Mooreland’s leading position as an M&A advisor to small capitalization publicly traded technology companies.
